4. Payments, Billing & Financial Responsibility

Payment is required in full or per agreed payment plan before services begin

Access may be withheld until payment is received

Payment Plans

Payment plans are commitments, not subscriptions

Failure to complete payments does not cancel the balance owed


5. Late Payments, Non-Payment & Collections

If payment is late, declined, or unpaid:

Access to services, content, and communities may be paused or terminated

Late fees and administrative fees may apply

Outstanding balances may be sent to collections after reasonable notice

You are responsible for all costs related to collection efforts, including administrative and third-party fees where permitted by law.


6. Chargebacks & Disputes

You agree to contact us directly before initiating any payment dispute or chargeback.

If a chargeback is filed:

Access to all services, content, and communities is immediately revoked

You may be permanently removed from all programs

You are responsible for all chargeback fees and associated costs

Chargebacks filed in bad faith constitute a material breach of these Terms.


7. Refund Policy

All sales are final unless explicitly stated otherwise in writing.

Due to the nature of digital products, memberships, and services:

Access constitutes delivery

Non-participation, dissatisfaction, or change of mind does not qualify for a refund

Any exception is granted solely at our discretion.


8. Communication Standards & Client Conduct

We do business as humans, not emotional dumping grounds or targets for abuse.

You agree to maintain respectful, professional, and regulated communication at all times.

Prohibited Conduct Includes, but is not limited to:

Hostile, aggressive, threatening, or abusive communication

Harassment, intimidation, or repeated boundary violations

Emotional manipulation, guilt-tripping, or coercion

Weaponizing trauma, mental health language, or victim narratives

Excessive messaging, demands for immediate responses, or entitlement to access

Attempts to control, shame, or pressure our team

Violation of communication standards may result in immediate termination without refund.


9. Mediation Only, No Legal Escalation

We resolve disputes through direct communication and mediation only.

By engaging our services, you agree that:

We do not engage in legal threats, lawsuits, or adversarial proceedings as a first response

Concerns must be raised respectfully and in writing

Escalation without attempting mediation may result in termination of services

This clause protects all parties and preserves professional boundaries.


10. Non-Disparagement & Reputation Protection

You agree not to:

Speak falsely, misleadingly, or maliciously about us, our team, or our brands

Post defamatory, harmful, or exaggerated statements online or privately

Encourage others to harass, intimidate, or undermine our reputation

This includes public posts, private messages, reviews, group chats, or third-party platforms.

Violation of this clause constitutes a material breach of these Terms and may result in termination and further action to protect the business.


11. Community Participation

Participation in memberships or communities is a privilege.

You acknowledge:

Information shared by members is not guaranteed to be confidential

We may moderate, remove content, or remove members at our discretion

Removal due to conduct violations does not entitle you to a refund


12. Intellectual Property

All materials, frameworks, content, and resources are owned by Tyche Digital Agency and affiliated brands.

You may not:

Share, copy, reproduce, resell, or distribute content

Record sessions or calls without written permission

Use materials to create competing or derivative products


13. Termination of Services

We reserve the right to terminate services immediately for:

Non-payment or repeated late payments

Breach of these Terms

Hostile, abusive, or manipulative behavior

Repeated misalignment with boundaries or expectations

Termination does not relieve you of outstanding payment obligations.


14. Limitation of Liability

To the fullest extent permitted by law:

We are not liable for indirect, incidental, or consequential damages

Billing & Commitment

• All plans are billed monthly.

• Services operate on a month-to-month basis unless otherwise stated in writing.

Cancellation & Offboarding Policy

To ensure a smooth and professional transition, all cancellations require one final billing cycle following notice of cancellation.

During your final month, we will:

• Complete a structured offboarding process

• Prepare and deliver a summary of work completed

• Provide insights into what performed well, what did not, and why

• Deliver relevant reports and performance data

• Transfer or confirm access to accounts, tools, and analytics (where applicable)

• Provide handoff documentation to support continuity after our engagement ends

This final month ensures nothing is left unfinished and that you are not left without context or access.

Access & Ownership

• Clients retain ownership of their accounts and data.

• Tyche Digital Agency maintains administrative access only for the duration of the engagement and offboarding period.
